Job Description: 

Summary

The CSB Contract Management Specialist is responsible for reviewing contracts and negotiating terms and conditions with customers in collaboration with Sales & Legal representatives. The role involves assessing and mitigating business risks from a contractual perspective and providing commercial and contractual support throughout the entire business lifecycle, from bidding and project execution through project completion and the warranty period. The position also coordinates with other company functions, including Legal, Risk, Insurance, Tax, and Finance, to ensure compliance with company policies, procedures, and financial requirements. The primary responsibility will be for countries and customers in Latin America; however, depending on business needs and circumstances, the scope may also include countries and customers in North America.

 

Roles & Responsibilities

  • Foster an environment of teamwork, compliance and continuous improvement.

  • Ensure compliance with departmental policies, procedures, and work instructions.
  • Draft, review, clarify, and negotiate significant and complex service agreements, ensuring that all customer-proposed terms and conditions are thoroughly reviewed and appropriately negotiated.
  • Coordinate contract review processes in collaboration with Sales and Legal representatives, as required.
  • Ensure that proposals and change orders adhere to sound contractual and financial principles, with particular emphasis on key contractual provisions, including but not limited to delivery terms, payment terms, cancellation terms, insurance requirements, domestic and international tax matters, warranties, indemnities, liquidated damages, limitations of liability, and waivers of consequential damages.
  • Lead the clarification, negotiation, implementation, execution, and renewal of framework agreements, including Master Service Agreements (MSAs), with key customers, striving to establish mutually acceptable terms and conditions whenever possible.
  • Lead or participate in Bid/No Bid reviews by consolidating input from Engineering, Operations, Finance, Sales, and other relevant functions, evaluating contractual, technical, commercial, and financial risks, and providing recommendations to support informed business decisions.
  • Identify and mitigate issues and risks during the bidding phase, and contribute to the critical analysis and review of risks throughout the project lifecycle, from inquiry through cash collection.
  • Conduct or support customer credit risk assessments, including review of customer financial strength, payment history, and collection risk, recommend appropriate risk mitigation measures, and provide contractual and commercial support for receivables collection, payment disputes, and recovery efforts, as required.
  • Provide prompt resolution of contract-related disputes and proactively manage claims and other contractual matters in a timely and appropriate manner.
  • Provide support for business development activities as required by the Commercial and Contract Manager.

Requirements

  • Bachelor’s degree in Law, Business Administration, Finance, or a related discipline, and/or equivalent commercial and contract management experience. Relevant professional certifications are preferred.
  • More than 5 years’ experience in commercial and contract management within the Oil & Gas, Energy, or Industrial Services sectors.
  • Experience coordinating with Legal, Tax, Finance, and Risk Management functions in a multinational business environment.
  • Experience in payment terms, accounts receivable management, and cash collection processes.
  • Professional working proficiency in English and Spanish is required. Portuguese proficiency is highly desirable.

  • Strong understanding of commercial models, potential risks, and industry developments, with the ability to provide commercial and contractual support for successful aftermarket and service business opportunities, including Upgrades, Spare Parts, Shop Services, Field Services, Storage, and Kitting Box solutions.
  • Ability to work effectively with multicultural teams and customers across Latin America.
  • Knowledge of international trade compliance, sanctions, and export control requirements is an advantage.
