Mitsubishi Power Americas, Inc. in Lake Mary, Florida is looking for Legal Counsel. 

SUMMARY

 

Responsibilities involve structuring, advising and drafting/reviewing and negotiating complex engineering, procurement and construction contracts, equipment supply contracts, major component purchases, parts and services transactional support, general supply chain support, and special projects as assigned from time to time in support of activities for Mitsubishi Power Americas, Inc and its affiliates.  

 

 

ESSENTIAL DUTIES & RESPONSIBILITIES

  • Serve as a trusted advisor to Mitsubishi Power team members and divisional General Counsel and assisting Mitsubishi Power implement its strategic initiatives;
  • Support and advise the business leaders on new and existing power generation asset transactions, including complex EPC projects, from inception through execution as well as procurement of major components to be integrated into Mitsubishi Power projects;
  • Perform diligence and provide guidance regarding transaction documents to effectively manage risk, communicate risks to business partners, and ensure alignment with regulatory requirements and Mitsubishi Power policies;
  • Work effectively with business partners and divisional General Counsels to close and manage transactions;
  • Collaborate with Mitsubishi Power, its affiliates, finance, tax, operations, asset management, and other internal teams to improve processes for evaluation, closing and management of transactions;
  • Conduct analysis of, and provide advice regarding risks arising from, new products and transactions structures;
  • Build and maintain effective working relationships with internal and external stakeholder groups; and
  • Work in partnership with other members of the business and legal team to establish best practices across the businesses.
  • Basic Qualifications:
  • Bachelor’s Degree and JD required.
  • Licensed to practice law and in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
  • 5+ years of transactional experience in the power or manufacturing industry.
  • Ability to advise business leaders in pursuit of claims to advance Mitsubishi Power’s interest and defense of claims made against Mitsubishi Power.
  • Requisite Qualifications:
  • Experience and proficiency in drafting documents related to engineered product sales.
  • Experience in managing outside counsel for litigation and other matters.
  • Experience with EPC, equipment supply agreements, parts and services agreements and other project documents.
  • Proficient in handling a large number of issues and competing priorities in a fast-paced environment.
  • Ability to understand business needs and partner with key stakeholders and divisional General Counsels to identify solutions.
  • Excellent communication skills (verbal and written) with the ability to interact effectively and professionally at all levels.

KNOWLEDGE, SKILLS & EDUCATION

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.

  • Education and/or Experience:  Juris Doctorate degree from an accredited college or university or relevant experience in a relevant position experience in contract management, with experience in EPC projects a significant plus.    
      • Language Skills: Must be able to speak, read and write in English.  Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, governmental regulations.  Ability to write reports, business correspondence, and procedure manuals.  Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public. Spanish fluency is a significant plus, as are qualifications to practice in foreign jurisdictions in LATAM.
      • Reasoning Ability: Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.
      • Computer Skills: Knowledge of database, project management, spreadsheet and word processing software, electronic mail, graphics, technical diagrams, flow charts, etc.
