SUMMARY

The Corporate Paralegal is responsible for providing support to the legal department by managing documentation, assisting with corporate governance, and ensuring compliance with various regulations. The role involves working closely with attorneys and other legal professionals to facilitate efficient legal operations in support of activities for Mitsubishi Power Americas, Inc. and its affiliates.


ESSENTIAL DUTIES & RESPONSIBILITIES

  • Document Management: Organize, maintain, and review corporate documents, including contracts, agreements, and other legal records.

  • State Contractor Licenses: Maintain and organize state contractor licenses.

  • Corporate Governance: Assist with the preparation and filing of corporate documents, such as secretary certificate, board resolutions, annual reports, and compliance certificates. Updating CSC Database and Diligent Entity database. Preparing annual reports.

  • Legal Research: Conduct legal research to support case preparation, policy development, and regulatory compliance.

  • Compliance: Monitor and ensure compliance with federal, state, and local regulations, as well as internal policies and procedures.

  • Transaction Support: Provide assistance with corporate business transactions.

  • Contract Administration: Draft, review, and manage contracts to ensure accuracy and compliance with legal standards.

  • Litigation and Document Demand Support: Assist in the preparation for litigation, including coordinating discovery responses and responses to document demands.

  • Communication: Liaise with internal and external stakeholders to facilitate communication and ensure legal matters are addressed promptly.

  • Build and maintain effective working relationships with internal and external stakeholder groups.

  • Work in partnership with other members of the business and legal team to establish best practices across the businesses.

  • High proficiency with Office 365.


BASIC QUALIFICATIONS

  • Education: Bachelor’s degree in Paralegal Studies, Legal Studies, or a related field. Paralegal certification preferred.

  • Experience: 3+ years of experience as a paralegal, preferably in a corporate legal department or law firm.

  • Organizational Skills: Strong organizational abilities to manage multiple tasks and maintain accurate records.

  • Analytical Thinking: Capability to analyze legal issues and provide sound recommendations.

  • Communication: Effective communication skills to interact with various stakeholders and convey legal information clearly.

  • Team Collaboration: Ability to work collaboratively with attorneys, legal professionals, and other departments.

  • Adaptability: Flexibility to adapt to changing legal requirements and work environments.

KNOWLEDGE, SKILLS & EDUCATION

Language Skills

  • Must be able to speak, read and write in English. Spanish fluency is a significant plus.

  • Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, governmental regulations.

  • Ability to write reports, business correspondence, and procedure manuals.

  • Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

Reasoning Ability

  • Ability to define problems, collect data, establish facts, and draw valid conclusions.

  • Ability to interpret a variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.

Computer Skills

  • Knowledge of database, project management, spreadsheet and word processing software, electronic mail, graphics, technical diagrams, flow charts, etc.


PHYSICAL DEMANDS & WORK ENVIRONMENT

  • Regularly required to sit and talk or hear.

  • Occasionally required to stand and walk.

  • Occasionally lift and/or move up to 10 pounds.

  • The noise level in the work environment is usually quiet.

  • Hearing protection may be recommended and/or required in some areas.

  • Must be able to travel internationally as well as domestically.
